01. About Asheron Digital
Asheron Digital LLC is a digital marketing agency incorporated in the State of Wyoming, USA. We provide services including but not limited to Search Engine Optimization (SEO), Website Design & Development, Digital Marketing, Email Marketing, Social Media Management, and App Development.
Our principal place of business is: 75 E 3rd St, Sheridan, WY 82801
02. Services & Agreements
All services provided by Asheron Digital are governed by a separate Service Agreement signed between the client and Asheron Digital LLC. These Terms & Conditions operate alongside that agreement.
- Services begin only after a signed agreement and receipt of any required deposit
- Project scope, deliverables, and timelines are defined in the Service Agreement
- Any changes to scope must be agreed upon in writing by both parties
- We reserve the right to decline any project at our discretion
03. The Guarantee
Asheron Digital offers a results guarantee on qualifying services. This means:
- Specific measurable targets are agreed upon in writing before work begins
- If agreed targets are not met within the defined timeframe, we continue working at zero additional cost until they are achieved
- The guarantee applies only to services and targets outlined in the signed Service Agreement
- Force majeure events, client non-cooperation, or client-requested changes that affect outcomes may void the guarantee
The guarantee does not constitute a promise of specific revenue outcomes. Results vary based on industry, competition, budget, and other factors beyond our control.
04. Payment Terms
Payment terms are outlined in your individual Service Agreement. Generally:
- A deposit may be required before project commencement
- Ongoing retainer services are billed monthly in advance
- Invoices are due within 14 days of issue unless otherwise agreed
- Late payments may incur a 1.5% monthly interest charge
- Services may be paused or terminated for non-payment after 30 days
05. Intellectual Property
Upon full payment of all fees owed:
- All deliverables created specifically for your project become your property
- Asheron Digital retains rights to any pre-existing tools, frameworks, or proprietary processes used in delivering services
- We reserve the right to display completed work in our portfolio unless you request otherwise in writing
You represent that any content, logos, images, or materials you provide to us do not infringe any third-party intellectual property rights.
06. Client Responsibilities
To deliver the best results, clients agree to:
- Provide timely access to required accounts, assets, and information
- Review and approve deliverables within agreed timeframes
- Communicate changes or concerns promptly
- Ensure all content provided to us is accurate and legally compliant
Delays caused by client non-responsiveness may affect timelines and do not constitute grounds for refund.
07. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes but is not limited to business strategies, financial data, client lists, and campaign performance data.
08. Limitation of Liability
To the maximum extent permitted by law, Asheron Digital LLC shall not be liable for any indirect, incidental, or consequential damages arising from our services. Our total liability shall not exceed the total fees paid by the client in the 3 months preceding the claim.
09. Termination
Either party may terminate the service agreement with 30 days written notice. Upon termination:
- All outstanding invoices become immediately due
- Completed work will be delivered to the client
- Access to client accounts will be returned promptly
- The guarantee is void upon early termination by the client
10. Governing Law
These Terms & Conditions are governed by the laws of the State of Wyoming, USA. Any disputes shall be resolved in the courts of Sheridan County, Wyoming, or through binding arbitration as mutually agreed.
